Affiliate Program Terms

1. Introduction

These MNM ProLabs Affiliate Program Terms of Service (“Terms”) govern participation in the MNM ProLabs Affiliate Program (“Program”) available through MNMProLabs.com.

The Program is owned and administered by MNM ProLabs LLC (“MNM ProLabs,” “Company,” “we,” “us,” or “our”) using Ultimate Affiliate Pro and any other tracking, payment, communication, or administrative systems selected by MNM ProLabs.

These Terms apply to all approved Program participants, including:

• Team athletes;
• Brand ambassadors;
• Standard affiliates;
• Influencers;
• Content creators;
• Personal trainers;
• Coaches;
• Gyms;
• Promotional partners; and
• Other approved individuals or businesses.

By submitting a Program application, checking the required acceptance box, accessing an Affiliate Dashboard, using an Affiliate Link or Affiliate Code, promoting MNM ProLabs, requesting payment, accepting commissions, or otherwise participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.

Do not apply for or participate in the Program if you do not agree to these Terms.

2. Program Overview

The Program allows approved participants to promote eligible MNM ProLabs products and earn commissions from eligible customer purchases that are properly attributed to their approved Affiliate Links or Affiliate Codes.

Participation in the Program is a privilege and not an automatic right.

MNM ProLabs may approve, deny, suspend, restrict, reclassify, or terminate a participant or Program account in accordance with these Terms and applicable law.

Approval to participate does not guarantee sales, commissions, sponsorship, free products, event participation, travel, media exposure, collaborations, or any other opportunity.

3. Definitions

For purposes of these Terms:

Affiliate

“Affiliate” means any individual or entity approved to participate in the MNM ProLabs Affiliate Program.

Athlete

“Athlete” means an individual formally approved and designated by MNM ProLabs as an official sponsored athlete, team athlete, or athlete ambassador.

Identifying as an athlete, competing in a sport, receiving a discount code, joining a team chat, or receiving products does not automatically qualify a participant for Athlete status.

Standard Affiliate

“Standard Affiliate” means an approved participant who has not been formally designated as an MNM ProLabs Athlete.

Affiliate Dashboard

“Affiliate Dashboard” means the online account area provided through Ultimate Affiliate Pro or another system selected by MNM ProLabs. The Affiliate Dashboard may display referral activity, commissions, Affiliate Links, Affiliate Codes, payment information, Program materials, and Program notices.

Affiliate Link

“Affiliate Link” means a unique referral or tracking link assigned or approved by MNM ProLabs.

Affiliate Code

“Affiliate Code” means an approved athlete, affiliate, referral, promotional, or discount code assigned by MNM ProLabs.

Commission

“Commission” means compensation earned from a verified Qualifying Sale under the commission rate assigned to the participant.

Qualifying Sale

“Qualifying Sale” means an eligible customer purchase that:

1. Is properly attributed to an approved participant;
2. Is completed through MNMProLabs.com;
3. Is fully paid;
4. Is successfully processed;
5. Is not canceled, returned, refunded, disputed, or charged back;
6. Is not generated through fraud, manipulation, or prohibited conduct; and
7. Complies with these Terms.

Net Eligible Sales

“Net Eligible Sales” means the eligible product subtotal after discounts and before excluded amounts such as taxes, shipping, refunds, returns, credits, chargebacks, and other noncommissionable charges.

Program Materials

“Program Materials” means approved MNM ProLabs logos, banners, product photographs, videos, product descriptions, advertising copy, graphics, links, promotional materials, and other content provided or approved by MNM ProLabs.

Program Guide

“Program Guide” means any current athlete guide, affiliate guide, campaign instructions, competition rules, posting expectations, brand standards, or promotional requirements issued by MNM ProLabs.

4. Eligibility

To participate in the Program, an applicant must:

1. Be at least 18 years old;
2. Have the legal capacity to enter into a binding agreement;
3. Provide accurate and complete application information;
4. Maintain a valid email address;
5. Maintain legitimate promotional channels appropriate for the Program;
6. Provide valid identity, banking, and tax information when requested;
7. Comply with these Terms and applicable laws;
8. Comply with applicable social media and advertising platform policies; and
9. Receive approval from MNM ProLabs.

MNM ProLabs may reject or restrict an applicant based on incomplete information, brand suitability, inappropriate content, suspected fraud, audience quality, prior misconduct, legal risk, conflicts of interest, or other legitimate business considerations.

MNM ProLabs is not required to provide a reason for denying an application except where required by law.

5. Program Commission Ranks

The Program has two primary commission ranks.

5.1 MNM ProLabs Athlete Rank — 25%

Approved MNM ProLabs Athletes earn a commission equal to 25% of Net Eligible Sales from Qualifying Sales properly attributed to their approved Affiliate Link or Affiliate Code.

The 25% Athlete commission applies only while the participant remains an approved MNM ProLabs Athlete in good standing.

5.2 Standard Affiliate Rank — 15%

Approved Standard Affiliates earn a commission equal to 15% of Net Eligible Sales from Qualifying Sales properly attributed to their approved Affiliate Link or Affiliate Code.

5.3 Rank Assignment

MNM ProLabs has sole authority to determine whether a participant qualifies for the Athlete Rank or Standard Affiliate Rank.

Affiliate registration alone does not qualify a participant for the Athlete Rank.

A Standard Affiliate who is later formally approved as an MNM ProLabs Athlete may be upgraded to the Athlete Rank. The 25% commission rate will apply prospectively beginning on the effective date of the approved rank change.

When an Athlete’s sponsorship, team status, or Athlete Agreement ends, MNM ProLabs may:

• Move the participant to the Standard Affiliate Rank;
• Reduce the participant’s commission rate from 25% to 15%;
• Suspend the account; or
• Terminate Program participation.

Rank changes ordinarily apply to future Qualifying Sales. MNM ProLabs may make retroactive adjustments when necessary to correct fraud, improper attribution, technical errors, duplicate transactions, or violations of these Terms.

6. Commission Calculations

Commissions are calculated from Net Eligible Sales and not from the total customer payment.

Unless MNM ProLabs expressly states otherwise, commissions are not calculated on:

• Sales tax;
• Shipping and handling;
• Bank or payment-processing charges;
• Gift-card purchases;
• Store credit;
• Free products;
• Product samples;
• Sponsorship products;
• Promotional giveaways;
• Replacement orders;
• Wholesale orders;
• Distributor purchases;
• Refunded amounts;
• Returned products;
• Canceled orders;
• Chargebacks;
• Fraudulent transactions;
• Unauthorized resale transactions;
• Ineligible self-referrals; or
• Products or categories identified as noncommissionable.

Commission Example

When the Net Eligible Sales amount is $100:

• An approved Athlete at the 25% rate would earn $25.
• A Standard Affiliate at the 15% rate would earn $15.

Any taxes, shipping charges, processing fees, refunds, credits, or excluded amounts are not included in the commission calculation.

7. Affiliate Accounts

Each participant may maintain only one Affiliate account unless MNM ProLabs provides written approval for an additional account.

Participants are responsible for:

• Maintaining accurate account information;
• Protecting their login credentials;
• Maintaining accurate banking and tax information;
• Reviewing their Affiliate Dashboard;
• Reviewing Program notices;
• Reporting unauthorized account activity;
• Complying with these Terms; and
• Ensuring that anyone assisting with their promotions complies with these Terms.

Participants may not sell, transfer, assign, share, sublicense, or allow another person to take control of an Affiliate account, Affiliate Link, Affiliate Code, commission balance, or Program benefit without written authorization from MNM ProLabs.

MNM ProLabs is not responsible for losses caused by a participant’s failure to protect their login credentials or update their account information.

8. Ultimate Affiliate Pro

The Program is administered through Ultimate Affiliate Pro and may include:

• Online affiliate registration;
• Affiliate and Athlete ranks;
• Affiliate Links;
• Affiliate Codes;
• Referral tracking;
• Discount-code tracking;
• Traffic statistics;
• Commission calculations;
• Commission approvals;
• Payment requests;
• Promotional materials; and
• Program communications.

MNM ProLabs may configure and modify technical settings involving:

• Cookie duration;
• Referral attribution;
• Coupon attribution;
• Referral status;
• Fraud controls;
• Commission approval;
• Payout requests;
• Eligible products; and
• Other Program functions.

Ultimate Affiliate Pro is an administrative and tracking tool. The appearance of a referral, commission, or balance in the Affiliate Dashboard does not create an unconditional right to payment.

Every commission remains subject to verification, approval, adjustment, reversal, and these Terms.

9. Referral Tracking and Attribution

Participants must use the exact Affiliate Links and Affiliate Codes assigned or approved by MNM ProLabs.

Tracking may depend on:

• Browser cookies;
• Browser privacy settings;
• Device settings;
• Customer use of an Affiliate Code;
• The configured tracking period;
• Previous referral activity;
• Checkout information;
• Fraud-detection systems;
• The customer’s browser or device; and
• The current Ultimate Affiliate Pro configuration.

MNM ProLabs does not guarantee that every click, visit, code use, or customer interaction will be successfully tracked or attributed.

Referral credit may not be awarded when:

1. The customer does not use the Affiliate Link or Affiliate Code correctly;
2. The customer blocks or deletes cookies;
3. The tracking cookie expires;
4. Another referral source receives attribution under the current settings;
5. The customer changes devices or browsers;
6. The purchase occurs outside the tracking period;
7. The order cannot be reliably connected to the participant;
8. The transaction is fraudulent, manipulated, or duplicated; or
9. Technical circumstances prevent reliable attribution.

MNM ProLabs’ tracking records and reasonable determination will control when attribution cannot be independently verified.

Participants must report suspected tracking errors within 30 days after the transaction date. Reports submitted after 30 days may be denied.

10. Qualifying Sales

A commission is earned only from a Qualifying Sale.

A transaction does not become a Qualifying Sale merely because:

• An Affiliate Code was entered;
• An Affiliate Link was clicked;
• A commission initially appears in the Affiliate Dashboard;
• The customer submitted an order;
• The customer received a discount; or
• Payment authorization was attempted.

The order must be paid, verified, eligible, and approved by MNM ProLabs.

MNM ProLabs may exclude orders that appear to have been created primarily to generate improper commissions or manipulate Program results.

11. Commission Statuses

Commissions may appear in the Affiliate Dashboard as:

• Pending;
• Approved;
• Unpaid;
• Paid;
• Rejected;
• Reversed;
• Canceled; or
• Another status supported by the Program platform.

A pending commission is not yet approved or payable.

MNM ProLabs may keep a commission pending while:

• Customer payment is verified;
• The return or refund period remains open;
• Chargeback risk is reviewed;
• Fraud screening is completed;
• Referral attribution is verified;
• Program compliance is reviewed; or
• Additional information is requested.

Only approved commissions count toward the minimum payout threshold.

12. Rejected and Reversed Commissions

MNM ProLabs may reject, cancel, reverse, deduct, or recover a commission when the related transaction:

1. Is canceled;
2. Is refunded;
3. Is returned;
4. Is disputed;
5. Results in a chargeback;
6. Was not fully paid;
7. Was generated through fraud or manipulation;
8. Was generated through an ineligible self-referral;
9. Was generated through prohibited promotional conduct;
10. Violates these Terms;
11. Was duplicated;
12. Was incorrectly attributed;
13. Was created through a technical or administrative error;
14. Involves an unauthorized discount;
15. Involves unauthorized resale activity; or
16. Does not otherwise qualify as a Qualifying Sale.

When a reversed commission has already been paid, MNM ProLabs may:

• Deduct the amount from future commissions;
• Offset the amount against another payment;
• Place the Affiliate account on hold; or
• Require repayment.

13. Minimum Payout Threshold

The minimum payout threshold is $50 in approved commissions.

A participant becomes eligible to request or receive payment only after their approved commission balance reaches at least $50.

Pending, disputed, rejected, canceled, or reversed commissions do not count toward the $50 threshold.

When the approved commission balance is less than $50, the balance will remain in the Affiliate account and carry forward until:

• The approved balance reaches at least $50;
• The balance is reversed or adjusted under these Terms;
• The account is closed and the balance is handled as required by law; or
• Another arrangement is approved by MNM ProLabs.

Reaching the $50 threshold does not make pending, disputed, fraudulent, or otherwise ineligible commissions payable.

14. Payment Method

Approved commissions of $50 or more will be paid by bank wire transfer to the verified bank account provided by the participant.

Participants may be required to provide:

• Full legal name;
• Business name, when applicable;
• Bank-account holder’s name;
• Bank name;
• Account number;
• Routing number;
• Wire-routing number;
• Bank address;
• SWIFT or BIC information, when applicable;
• Participant’s mailing address;
• Taxpayer identification information; and
• Other information reasonably necessary to process payment.

Participants are responsible for ensuring that all bank information is complete, accurate, current, and capable of receiving a wire transfer.

MNM ProLabs is not responsible for:

• Incorrect banking information supplied by a participant;
• Closed or restricted bank accounts;
• Rejected wire transfers;
• Bank-processing delays;
• Intermediary-bank delays;
• International banking restrictions;
• Currency-conversion charges;
• Receiving-bank charges; or
• Other fees imposed by a participant’s bank or an intermediary institution.

Unless MNM ProLabs expressly agrees otherwise, the participant is responsible for fees charged by the participant’s bank or intermediary financial institutions.

MNM ProLabs may require additional identity verification before processing a payment or changing the bank account associated with an Affiliate account.

Banking information should be submitted only through an authorized and secure method specified by MNM ProLabs.

15. Payment Processing

Payments will be processed according to the payout schedule displayed in the Affiliate Dashboard or otherwise posted by MNM ProLabs.

MNM ProLabs may require participants to submit a payout request through the Affiliate Dashboard.

Payment may be delayed when:

• The approved balance is less than $50;
• Banking information is incomplete or inaccurate;
• Banking information cannot be verified;
• Required tax documentation has not been received;
• Identity verification is incomplete;
• A commission remains under review;
• A refund, return, dispute, or chargeback is pending;
• Fraud or account compromise is suspected;
• The participant has violated these Terms;
• The participant has not submitted a required payout request; or
• Events outside MNM ProLabs’ reasonable control prevent payment.

MNM ProLabs may place payments or accounts on temporary hold while investigating suspected fraud, unauthorized activity, technical errors, account compromise, or Program violations.

16. Taxes

Participants are responsible for all federal, state, local, and international taxes arising from Program commissions.

MNM ProLabs may require a participant to provide:

• A completed Form W-9;
• A taxpayer identification number;
• A Social Security number;
• An employer identification number;
• A legal business name;
• A mailing address;
• International tax documentation; or
• Other information required for tax reporting or payment processing.

MNM ProLabs may withhold or delay payments until required tax documentation is received and verified.

MNM ProLabs may issue Form 1099-NEC or any other tax document required by applicable law.

Participants are responsible for consulting their own legal, accounting, or tax professionals concerning their individual obligations.

17. Independent Contractor Relationship

Participants are independent contractors and not employees, agents, partners, joint venturers, franchisees, or legal representatives of MNM ProLabs.

Participation in the Program does not create entitlement to:

• Salary or wages;
• Employee benefits;
• Health insurance;
• Retirement benefits;
• Paid leave;
• Workers’ compensation;
• Guaranteed working hours;
• Guaranteed income;
• Guaranteed sales; or
• Continued participation.

Participants are responsible for their own:

• Taxes;
• Business registrations;
• Licenses;
• Insurance;
• Equipment;
• Personnel;
• Expenses;
• Advertising costs; and
• Recordkeeping.

Participants have no authority to:

• Sign agreements on behalf of MNM ProLabs;
• Create obligations for MNM ProLabs;
• Collect customer payments on behalf of MNM ProLabs;
• Modify Company policies;
• Make unauthorized warranties;
• Promise sponsorships or employment;
• Promise commissions to another person; or
• Represent themselves as an MNM ProLabs employee.

18. Athlete-Specific Requirements

Approved Athletes may be subject to additional requirements contained in an Athlete Agreement, Sponsorship Agreement, Athlete Guide, Team Expectations Guide, Competition Guide, campaign instructions, or other written communication.

Athlete-specific requirements may include:

• Social media posting requirements;
• Story and feed posts;
• Product features;
• Event participation;
• Apparel requirements;
• Collaboration invitations;
• Product-launch support;
• Team engagement;
• Content-quality standards;
• Confidentiality;
• Professional conduct; and
• Brand-representation requirements.

Athletes are responsible for reading each applicable guide, campaign document, and Program communication completely.

Failure to read a guide or communication does not excuse failure to comply with its requirements.

When these Terms conflict with a separately signed Athlete or Sponsorship Agreement concerning athlete-specific obligations, the separately signed agreement will control those athlete-specific obligations.

These Terms will continue to govern Program registration, tracking, commissions, payouts, website participation, advertising conduct, and compliance unless the separate agreement expressly provides otherwise.

19. Required Affiliate and Sponsorship Disclosures

Participants must clearly disclose their relationship with MNM ProLabs whenever promoting, recommending, reviewing, displaying, tagging, linking to, or endorsing MNM ProLabs or an MNM ProLabs product.

A relationship requiring disclosure may include receiving or potentially receiving:

• Commissions;
• Free products;
• Discounted products;
• Sponsorship;
• Apparel;
• Gifts;
• Travel;
• Event access;
• Bonuses;
• Services;
• Publicity; or
• Other items of value.

Appropriate disclosures may include:

• “MNM ProLabs Sponsored Athlete”
• “Sponsored by MNM ProLabs”
• “Paid partnership with MNM ProLabs”
• “MNM ProLabs Affiliate — I may earn a commission from qualifying purchases.”
• “I receive MNM ProLabs products and may earn commissions.”
• “Ad”
• “Sponsored”

Disclosures must be:

1. Clear and easy to understand;
2. Easy to see or hear;
3. Presented with the endorsement;
4. Placed before or close to the Affiliate Link or Affiliate Code;
5. Visible without requiring the customer to search for it;
6. Displayed long enough to be read in video or Story content;
7. Stated verbally and visually when appropriate for videos or livestreams; and
8. Presented in the same language as the promotion.

Disclosures may not be hidden:

• At the end of a long caption;
• After a large group of hashtags;
• Only in a social media profile;
• Only on a separate disclosure page;
• Behind a “more” or similar expansion button when the endorsement appears before it; or
• In vague or confusing language.

A platform’s paid-partnership tool may be used, but the participant remains responsible for ensuring that the relationship is clearly disclosed.

20. Truthful Endorsements

All endorsements must reflect the participant’s honest opinions, beliefs, findings, and actual experiences.

Participants may not:

1. Claim to use a product they have not used;
2. Claim results they did not experience;
3. Make false, exaggerated, or misleading statements;
4. Guarantee customer results;
5. Create fake testimonials or customer stories;
6. Create or purchase fake reviews;
7. Purchase fake followers, comments, likes, views, or other engagement;
8. Misrepresent edited photographs;
9. Present unusual or atypical results as guaranteed or typical;
10. Make statements that conflict with approved MNM ProLabs materials; or
11. Continue making an endorsement after no longer holding the stated opinion.

Personal experience does not authorize a participant to make an unapproved health, disease, safety, performance, or product claim.

21. Dietary Supplement and Product Claims

Participants may use only current product descriptions, ingredient information, benefit statements, and advertising claims approved by MNM ProLabs.

Participants may not state or imply that an MNM ProLabs dietary supplement:

• Diagnoses a disease or medical condition;
• Treats a disease or medical condition;
• Cures a disease or medical condition;
• Prevents a disease or medical condition;
• Replaces medical care;
• Replaces prescription medication;
• Is approved by the FDA unless MNM ProLabs expressly authorizes the statement;
• Is guaranteed to be safe for everyone;
• Guarantees weight loss;
• Guarantees fat loss;
• Guarantees muscle growth;
• Guarantees strength or performance improvements;
• Produces results without appropriate nutrition, exercise, training, or effort;
• Has no potential risks or side effects;
• Is suitable for every individual;
• Is approved by WADA, USADA, the NCAA, a professional sports organization, or a government agency without written verification;
• Is endorsed by a medical organization without written verification; or
• Has a certification, ingredient, purity level, dosage, testing status, or benefit not confirmed by current approved materials.

Participants may not compare an MNM ProLabs dietary supplement to a prescription drug or state or imply that it provides the same effects as a prescription medication.

Participants must use all required disclaimers, warnings, serving instructions, age restrictions, and safety language supplied by MNM ProLabs.

Participants may not remove, hide, contradict, shorten, or alter a required warning or disclaimer in a manner that changes its meaning.

MNM ProLabs may require a participant to immediately correct or remove an inaccurate, outdated, unsupported, or unauthorized product claim.

22. Responsible Product Promotion

Participants must promote responsible use of MNM ProLabs products in accordance with product labeling and approved instructions.

Participants may not encourage:

• Exceeding the recommended serving;
• Unsafe product combinations;
• Use by individuals who do not satisfy label requirements;
• Use as a substitute for medical care;
• Dangerous weight-loss practices;
• Intentional dehydration;
• Unsafe exercise challenges;
• Concealing supplement use from a physician;
• Concealing supplement use from a sports organization or testing authority; or
• Other unsafe, misleading, or unlawful conduct.

Participants may not provide individualized medical advice unless they are independently licensed and legally authorized to provide that advice.

23. Approved Promotional Methods

Subject to these Terms, participants may promote MNM ProLabs through approved:

• Social media accounts;
• Websites and blogs;
• Videos and livestreams;
• Podcasts;
• Email communications;
• Gym referrals;
• Personal-training clients;
• Events;
• Printed materials; and
• Personal referrals.

MNM ProLabs may require prior written approval for:

• Paid advertisements;
• Search-engine advertising;
• Sponsored social media advertising;
• Email campaigns;
• Text-message campaigns;
• Giveaways;
• Contests;
• Press releases;
• Media interviews;
• Event promotions;
• Landing pages;
• Product comparisons; or
• Other campaigns using MNM ProLabs intellectual property.

24. Prohibited Promotional Conduct

Participants may not engage in:

1. False, misleading, or deceptive advertising;
2. Spam or unsolicited mass messaging;
3. Fraudulent transactions;
4. Fake orders or fabricated leads;
5. Cookie stuffing;
6. Forced clicks;
7. Hidden referral links;
8. Adware, spyware, or browser manipulation;
9. Traffic purchased primarily to manipulate commissions;
10. Artificial social media engagement;
11. Fake reviews or testimonials;
12. Brand impersonation;
13. Unauthorized coupon distribution;
14. Unauthorized paid advertising;
15. Unauthorized health or disease claims;
16. Trademark infringement;
17. Interference with another participant’s referrals;
18. Harassment of customers, employees, or other participants;
19. Promotion of counterfeit or unauthorized MNM ProLabs products;
20. Misrepresentation of prices, inventory, promotions, shipping, or discounts;
21. Unauthorized rebates or cash-back offers;
22. Recruitment based on guaranteed earnings;
23. Claims that the Program is an investment opportunity;
24. Claims that participation guarantees sponsorship, employment, travel, or free products;
25. Promotion of unlawful conduct in connection with MNM ProLabs; or
26. Conduct that materially damages or threatens the MNM ProLabs brand.

25. Self-Referrals

Participants may not earn commissions from their own purchases unless MNM ProLabs provides prior written authorization.

MNM ProLabs may reject or reverse commissions involving:

• The participant’s own customer account;
• The participant’s own name;
• The participant’s own address;
• The participant’s own email address;
• The participant’s own telephone number;
• The participant’s own payment method;
• The participant’s own device;
• Repeated household purchases intended primarily to generate commissions;
• Coordinated code exchanges between participants; or
• Other activity intended to create improper referral credit.

Legitimate purchases by friends, family members, clients, or followers may qualify when they are genuine independent purchases and are not manipulated to generate improper commissions.

26. Affiliate and Discount Codes

Participants may use only Affiliate Codes provided or approved by MNM ProLabs.

Participants may not:

• Create unauthorized codes;
• Alter an assigned code;
• Advertise a discount greater than the approved amount;
• Claim a code expires when it does not;
• Claim a code is exclusive when it is not;
• Publish a private code on an unauthorized coupon website;
• Combine discounts without authorization;
• Offer unauthorized cash, gifts, rebates, or incentives for using a code; or
• Misrepresent the terms of a promotion.

MNM ProLabs may modify, suspend, replace, or deactivate an Affiliate Code when it is misused, compromised, distributed without authorization, connected to suspicious activity, or associated with a Program violation.

27. Paid Search and Digital Advertising

Participants may not bid on, purchase, or use MNM ProLabs trademarks or confusingly similar terms in paid search or digital advertising without prior written authorization.

Restricted terms include:

• MNM ProLabs;
• MNM Pro Labs;
• MNM ProLabs product names;
• MNM ProLabs slogans;
• Misspellings of MNM ProLabs;
• Variations of MNM ProLabs trademarks; and
• Terms implying that an Affiliate page is an official MNM ProLabs corporate website.

Participants may not send paid advertising traffic directly through an Affiliate Link without written approval.

Participants may not create advertisements that appear to be official MNM ProLabs advertisements unless the advertisement has been approved by MNM ProLabs.

28. Email, Text, and Direct Marketing

Participants using email, text messages, direct messages, or other direct marketing must comply with all applicable advertising, consent, identification, privacy, and opt-out requirements.

Participants may not:

• Use purchased or rented contact lists;
• Use scraped email addresses;
• Use harvested telephone numbers;
• Use deceptive sender information;
• Use misleading subject lines;
• Imply that a communication was sent directly by MNM ProLabs;
• Continue contacting someone who requested that communications stop;
• Send automated text messages without legally sufficient consent;
• Add customers to an independent marketing list without appropriate permission; or
• Provide unlawfully obtained customer information to MNM ProLabs.

Participants are solely responsible for their independent marketing lists and communications.

29. Social Media Conduct

Participants must comply with the terms, advertising rules, and community standards of every social media platform they use.

Participants must conduct themselves professionally when representing or promoting MNM ProLabs.

Participants may not associate MNM ProLabs promotions with content involving:

• Illegal conduct;
• Threats;
• Harassment;
• Hate speech;
• Explicit sexual content;
• Dangerous conduct;
• Deliberate misinformation;
• Fraud;
• Counterfeit products; or
• Other content MNM ProLabs reasonably determines presents a material legal, safety, or reputational risk.

MNM ProLabs may end the business relationship when a participant’s public conduct materially conflicts with the Company’s legitimate brand, safety, legal, or business interests.

30. MNM ProLabs Intellectual Property

MNM ProLabs grants approved participants a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use approved Program Materials solely for authorized Program participation.

Participants must:

• Use current approved logos;
• Use current approved product images;
• Use accurate product names;
• Use approved product descriptions;
• Follow MNM ProLabs brand standards;
• Preserve copyright and trademark notices;
• Use required disclosures and disclaimers;
• Stop using outdated materials when instructed; and
• Stop using MNM ProLabs materials when Program participation ends.

Participants may not modify an MNM ProLabs:

• Logo;
• Product label;
• Package design;
• Trademark;
• Slogan;
• Product photograph;
• Certification statement;
• Ingredient statement;
• Testing statement; or
• Advertising claim

without prior written authorization.

All rights not expressly granted remain the property of MNM ProLabs or the applicable rights holder.

31. Participant-Created Content

Participants retain ownership of original content they independently create, subject to MNM ProLabs’ ownership of its products, trademarks, logos, labels, and Program Materials.

By tagging MNM ProLabs, submitting content to MNM ProLabs, inviting MNM ProLabs as a social media collaborator, or participating in an official MNM ProLabs campaign, the participant grants MNM ProLabs a non-exclusive, worldwide, royalty-free license to:

• Repost;
• Share;
• Display;
• Reproduce;
• Distribute;
• Edit for formatting;
• Archive; and
• Promote

the submitted content for MNM ProLabs website, social media, marketing, advertising, event, internal, and promotional purposes.

MNM ProLabs may identify the participant by name, social media handle, photograph, approved biography, likeness, team status, or Athlete status in connection with the content.

MNM ProLabs will not knowingly alter an endorsement in a manner that falsely changes the participant’s stated opinion.

Additional content rights may be governed by a separate Athlete Agreement, campaign agreement, release, or content-production agreement.

32. Confidential Information

Participants may receive confidential or nonpublic information concerning:

• Unreleased products;
• Product launches;
• Product development;
• New flavors or formulas;
• Business opportunities;
• Collaborations;
• Partnership discussions;
• Contracts or negotiations;
• Athlete selections;
• Event plans;
• Pricing strategies;
• Commission information;
• Customer information;
• Sales information;
• Internal communications; and
• Other confidential business matters.

Participants may not disclose, publish, reproduce, distribute, or use confidential information without authorization from MNM ProLabs.

Participants may announce a confidential opportunity only after MNM ProLabs has publicly announced it or provided written authorization.

Confidentiality obligations continue after Program participation ends.

33. Customer Information and Privacy

Participants may use customer information only for the lawful purpose for which it was provided.

Participants may not:

• Sell customer information;
• Share customer information without authorization;
• Access customer information through unauthorized methods;
• Request customer payment-card information;
• Represent themselves as MNM ProLabs customer service;
• Make unauthorized order changes;
• Retain confidential customer information unnecessarily; or
• Add customers to independent marketing lists without appropriate consent.

Customer questions involving orders, returns, refunds, shipping, product complaints, payment issues, or account concerns must be directed to MNM ProLabs through the customer-support methods available on MNMProLabs.com.

34. Monitoring and Compliance

MNM ProLabs may monitor Program-related:

• Websites;
• Social media posts;
• Advertisements;
• Affiliate Links;
• Affiliate Codes;
• Traffic sources;
• Referrals;
• Customer transactions;
• Reviews;
• Email promotions; and
• Other promotional activities.

Participants agree to provide reasonable information concerning their promotional methods and traffic sources when requested.

MNM ProLabs may require a participant to edit or remove content that violates:

• These Terms;
• Applicable law;
• Platform policies;
• Brand standards;
• Product-claim requirements; or
• Campaign instructions.

Unless immediate action is required because of a legal, health, safety, financial, or reputational concern, participants must complete requested corrections promptly and no later than 24 hours after receiving notice.

Failure to correct or remove content may result in commission reversal, account suspension, rank reduction, or termination.

35. Suspension and Termination

Either the participant or MNM ProLabs may end Program participation at any time.

Participants may discontinue participation by contacting MNM ProLabs through the support information available on MNMProLabs.com.

MNM ProLabs may immediately suspend, restrict, or terminate an account for:

• Fraud or suspected fraud;
• False or misleading advertising;
• Unauthorized health or disease claims;
• Failure to disclose the affiliate or sponsorship relationship;
• Artificial traffic or engagement;
• Unauthorized paid advertising;
• Brand impersonation;
• Trademark misuse;
• Coupon abuse;
• Breach of confidentiality;
• Unsafe product promotion;
• Failure to provide banking or tax information;
• Harassment or misconduct;
• Repeated Program violations;
• Material violation of an Athlete Agreement; or
• Conduct creating a material legal, financial, safety, or reputational risk.

Upon termination, the participant must:

1. Stop representing themselves as an MNM ProLabs Affiliate or Athlete;
2. Stop using Affiliate Links and Affiliate Codes;
3. Stop using Program Materials;
4. Remove unauthorized MNM ProLabs content;
5. Stop using MNM ProLabs intellectual property; and
6. Protect or destroy confidential information as directed.

Sales completed after termination will not qualify for commissions.

Valid commissions earned before termination remain subject to verification, reversals, offsets, payout requirements, banking verification, tax documentation, and these Terms.

Commissions associated with fraud, manipulation, prohibited activity, or a material violation may be rejected or forfeited to the extent permitted by law.

36. Inactive Accounts

MNM ProLabs may classify an account as inactive when the participant has not generated referral activity, logged into the Affiliate Dashboard, responded to Program communications, or otherwise participated for an extended period.

MNM ProLabs may contact the participant before closing an inactive account when reasonably practical.

Any approved unpaid balance associated with a closed account will be handled in accordance with these Terms and applicable law.

37. No Earnings or Opportunity Guarantee

MNM ProLabs does not guarantee:

• Any minimum income;
• Any number of sales;
• Any commission payment;
• Website traffic;
• Social media growth;
• Sponsorship;
• Free products;
• Travel;
• Event participation;
• Media exposure;
• Collaborations;
• Professional advancement;
• Competition placement;
• Customer response; or
• Continued Program participation.

Results depend on factors such as individual effort, audience, content quality, consistency, market conditions, customer preferences, product availability, pricing, and compliance with these Terms.

Participants may not promote the Program using false, misleading, or guaranteed earnings claims.

38. Program Availability

The Program, Affiliate Dashboard, referral-tracking systems, and Program Materials are provided on an “as available” basis to the fullest extent permitted by law.

MNM ProLabs does not guarantee that:

• Every referral will be tracked;
• Tracking will be uninterrupted or error-free;
• The Affiliate Dashboard will always be available;
• Every Affiliate Code will remain active;
• Every product will remain available;
• Every promotion will continue;
• Every customer will complete a purchase; or
• Third-party websites and platforms will continue supporting Affiliate Links.

MNM ProLabs may temporarily suspend Program functions for maintenance, security, fraud prevention, platform changes, or other legitimate business reasons.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

39. Limitation of Liability

To the fullest extent permitted by law, MNM ProLabs and its owners, officers, employees, contractors, service providers, representatives, affiliates, and successors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the Program.

This limitation includes alleged damages involving:

• Lost profits;
• Missed referrals;
• Tracking failures;
• Lost data;
• Loss of goodwill;
• Social media restrictions;
• Affiliate account suspension;
• Platform interruptions;
• Banking delays;
• Third-party actions; or
• Product unavailability.

To the fullest extent permitted by law, MNM ProLabs’ total liability arising from the Program will not exceed the participant’s valid, approved, and unpaid commissions during the six months immediately preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law.

40. Indemnification

To the fullest extent permitted by law, the participant agrees to defend, indemnify, and hold harmless MNM ProLabs and its owners, officers, employees, contractors, service providers, representatives, affiliates, and successors from claims, losses, penalties, damages, liabilities, judgments, costs, and reasonable legal expenses arising from:

• The participant’s breach of these Terms;
• The participant’s advertising or promotional activities;
• Unauthorized product claims;
• False or misleading statements;
• Failure to make required disclosures;
• Unlawful email, text, or direct marketing;
• Intellectual property infringement;
• Privacy or publicity-right violations;
• The participant’s tax obligations;
• The participant’s website or social media content;
• The participant’s business activities;
• Negligence;
• Fraud;
• Willful misconduct; or
• Unlawful conduct.

MNM ProLabs may assume control of the defense of a covered claim, and the participant agrees to provide reasonable cooperation.

41. Informal Dispute Resolution

Before filing a legal proceeding, the parties agree to attempt to resolve the dispute through written notice and good-faith discussion.

The written notice should include:

• The nature of the dispute;
• The relevant transaction or conduct;
• Supporting documentation; and
• The requested resolution.

The parties will have 30 days after receipt of the notice to attempt an informal resolution unless immediate legal relief is reasonably necessary.

42. Governing Law and Venue

These Terms are governed by the laws of the State of Florida without regard to conflict-of-law principles.

Any legal action arising from these Terms or the Program must be filed in a state or federal court with appropriate jurisdiction in Hillsborough County, Florida, unless applicable law requires another venue.

Each party consents to the jurisdiction and venue of those courts.

MNM ProLabs may seek immediate injunctive or equitable relief when reasonably necessary to address:

• Fraud;
• Confidentiality violations;
• Intellectual property violations;
• Customer-data misuse;
• Brand impersonation;
• Unauthorized product claims; or
• Other conduct capable of causing immediate or irreparable harm.

43. Changes to the Program

MNM ProLabs may modify, suspend, or discontinue all or part of the Program, including:

• Eligible products;
• Tracking procedures;
• Cookie duration;
• Promotional rules;
• Payment procedures;
• Bank-information requirements;
• Program technology;
• Affiliate Codes;
• Brand standards;
• Athlete requirements; and
• Compliance requirements.

The commission rates established by these Terms are:

• 25% for approved MNM ProLabs Athletes
• 15% for Standard Affiliates

Any future changes to commission rates will apply prospectively after reasonable notice unless an adjustment is required to correct fraud, technical error, duplicate activity, improper attribution, or a violation of these Terms.

MNM ProLabs may discontinue the Program upon notice posted on MNMProLabs.com, through the Affiliate Dashboard, by email, or through another reasonable communication method.

44. Changes to These Terms

MNM ProLabs may revise these Terms by publishing an updated version on MNMProLabs.com or through the Affiliate Dashboard.

The updated version will display a revised “Last Updated” date.

Material changes may also be communicated by email, Affiliate Dashboard notice, or another reasonable electronic method.

Continued participation after updated Terms become effective constitutes acceptance of the updated Terms.

A participant who does not agree to updated Terms must discontinue participation before the updated Terms take effect.

45. Notices

MNM ProLabs may provide Program notices through:

• MNMProLabs.com;
• The Affiliate Dashboard;
• Email;
• An official Athlete or Affiliate communication channel;
• A Program Guide;
• Campaign instructions; or
• Another reasonable electronic method.

Participants are responsible for maintaining current contact information and reviewing Program communications.

Questions or formal notices concerning the Program must be submitted through the contact or support information available on MNMProLabs.com.

46. Assignment

Participants may not assign or transfer their Affiliate account, Athlete Rank, Standard Affiliate Rank, commissions, Affiliate Links, Affiliate Codes, or rights under these Terms without written authorization from MNM ProLabs.

MNM ProLabs may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, ownership change, or change in Program administration.

47. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law.

The remaining provisions will remain in full force and effect.

48. No Waiver

Failure by MNM ProLabs to enforce a provision does not waive the right to enforce that provision or another provision later.

A waiver is effective only when provided in writing by an authorized MNM ProLabs representative.

49. Entire Agreement

These Terms, together with any applicable:

• Athlete Agreement;
• Sponsorship Agreement;
• Program Guide;
• Campaign requirements;
• Competition rules;
• Privacy Policy; and
• Written amendments

constitute the agreement governing participation in the Program.

When a separately signed Athlete or Sponsorship Agreement conflicts with these Terms regarding athlete-specific obligations, the separately signed agreement will control those athlete-specific obligations.

These Terms will continue to govern Affiliate Program registration, tracking, commissions, payouts, website participation, advertising requirements, and Program administration unless the separate agreement expressly provides otherwise.

50. Electronic Acceptance

No handwritten or physical signature is required to accept these Terms.

The following actions constitute electronic acceptance:

• Checking the required acceptance box;
• Submitting a Program application;
• Registering an Affiliate account;
• Accessing the Affiliate Dashboard;
• Using an Affiliate Link;
• Using an Affiliate Code;
• Promoting MNM ProLabs;
• Requesting payment;
• Accepting a commission payment; or
• Continuing participation after updated Terms take effect.

By participating in the Program, you confirm that:

1. You have read and understand these Terms;
2. You agree to be legally bound by these Terms;
3. You understand that approved MNM ProLabs Athletes earn 25% of Net Eligible Sales;
4. You understand that Standard Affiliates earn 15% of Net Eligible Sales;
5. You understand that only approved commissions count toward the $50 minimum payout threshold;
6. You understand that eligible payments are issued by bank wire transfer;
7. You agree to provide accurate banking, identity, contact, and tax information;
8. You agree to comply with advertising, endorsement, disclosure, brand, and product-claim requirements; and
9. You understand that violations may result in commission reversals, rank changes, account suspension, or termination.
